Guardian Capital is a Toronto investment management group founded in 1962. It serves institutional, retail and private wealth clients through Guardian Capital LP and subsidiaries in the UK (GuardCap), the US (Alta, Agincourt, Sterling Capital) and the Caribbean. It reported C$164.1 billion of total client assets at mid-2025. After almost 60 years on the TSX, it was taken private by Desjardins Global Asset Management for about C$1.67 billion in a deal that closed on 2026-03-23. CEO George Mavroudis now also leads DGAM, so for Canadian candidates Guardian is now the core of Desjardins' asset management arm, with Canadian offices in Toronto, Calgary and Vancouver.

All-cash plan of arrangement at C$68.00 per share, a 66% premium to the last Class A close and 48% to the last common-share close. Advisors: BMO Capital Markets to Guardian; Scotiabank as advisor and independent valuator to the independent committee; Desjardins Capital Markets to Desjardins. Guardian said it would then delist from the TSX and stop being a reporting issuer.
Desjardins closed the C$1.67B take-private; together Guardian and DGAM oversee about C$280B, with George Mavroudis leading both.
Desjardins completes the acquisition; Guardian becomes a wholly owned DGAM subsidiary, with its TSX delisting to follow.
Guardian announced the definitive agreement, premiums, advisors and rollover arrangements for the Desjardins deal.
Guardian buys Charlotte-based Sterling Capital Management to expand in the US.
Guardian sells its insurance, mutual fund and investment distribution networks to Desjardins.
